Let's face it. The IPO market is dead and the current economic conditions offer little chance of liquidity other than through an acquisition.  While a M&A transaction can provide the needed exit you are looking for, it may not always achieve the desired results.  At this month's meeting, TechCoire is proud to have executives from companies that have gone through the process to share their insight into the process, what to look for and what to bargain for during a potential acquisition.  Executives featured include:

Mitchell Koulouris, took the company public in Feb 206, acquired Digital Rights Agency post-IPO and finally got acquired by Orchard Group in 2007
Mike McConnell, executive with Level-One, Sacramento’s largest technology acquisition to date and part of the team that integrated Level-one into  Intel post-acquisition.
Randy Custeau, VP of Marketing for OSI, played a key role in the sale to Agilent in 2001 (second largest acquisition in Sacramento) and  subsequently the spin off from Agilent Tamara Gordon, Director of M&A for Agilent and was directly involved both in the acquisition of OSI in 2001 and subsequent spin-off by Agilent in 2007.

The panel will be moderated by Curt Rocca of DCA capital and the discussion will feature:

Panelists 

Mitchell Koulouris , CEO, Gigatone Entertainment
Prior to his current role, he was the Founder & CEO of DMI , online music distribution portal headquartered in Sacramento. He was responsible for driving DMI's corporate vision and for global partnerships and strategic business development and was at the helm until its sale to Orchard Group. Koulouris spent the last 15 years in the technology publishing sector working primarily with Microsoft in technical magazine publishing, content and community development, and event production. He founded Informant Communications Group, an award-winning publishing company in 1991.

Randy Custeau, VP – WW Marketing & Sales, OSI
Mr. Custeau has 20 years of telecommunications-related experience at both product vendor companies and service providers. He has held a variety of sales, marketing and research and development leadership positions. For Objective Systems Integrators, Mr. Custeau presently oversees world-wide sales marketing, including strategy, new business development and marketing communications. The current portfolio is part of the Sobha Renaissance IT Telecom portfolio which includes OSS, BSS and Business Process Outsourcing solutions for convergent service providers. Randy Custeau was an active part of the team that led the integration of OSI through its acquisition by Agilent in 2001 and the subsequent spin-off.

Mike McConnell , former VP of Strategy, Keyeye Communications
Stephen “Mike” McConnell has over 25 years of experience in the high tech industry. Mr. McConnell was a founder and Vice President of Strategic Marketing for KeyEye Communications, a fabless semiconductor company. Prior to founding KeyEye he held the position of Director of Business Development at Level One Communications and subsequently Intel. Prior to joining Level One Communications in 1993 he founded and operated an engineering consulting and contracting company specializing in data communications. Mr. McConnell has led the acquisition of numerous companies and played a significant role in the integration of Level One by Intel.

Tamara Gordon, Director of M&A, Agilent Technologies
Tamara Gordon is the Director of Mergers and Acquisitions for Agilent Technologies, has over 15 years experience buying and selling high technology businesses across a broad industry spectrum, including biotechnology and life sciences companies, medical products, software, computer hardware, semiconductors, instrumentation, and services. She was the lead negotiator in both the purchase of OSI by Agilent in 2001 and Agilent’s sale of OSI to their current parent last year, among many other acquisition deals.

Curt Rocca, Managing Partner, DCA Capital (Moderator)
Curtis M. Rocca serves as Managing Partner of DCA Partners, responsible for all aspects of the organization, and also functions as a General Partner to the Firm’s affiliated private equity fund, DCA Capital Partners. Mr. Rocca is a seasoned chief executive with a background in leading high growth organizations from inception to exit. In his career, he has held a number of top executive management positions including CEO of several companies, both public and private. Curtis M Rocca’s prior experience includes being the Chief Executive Officer of Dental Partners Inc, healthcare services roll–up based in Sacramento, CA ; Chairman and CEO of Bio-Dental Technologies Corp (Nasdaq: BDTC) – a global dental technology products company. He also served as senior executives with several Fortune-500 corporations including Celebrity Inc, Marriott International and Pacific Telesis.
